Corporate Reforms and the Emergence of Proprietary Companies in Victoria in 1896Abstract: Proprietary companies were first enacted in Victorian corporate law at the end of the nineteenth century. Today, they are the most common type of companies used by businesses. Their activities can be shrouded in secrecy with limited accountability to the public. Around the time of their introduction in Victoria, there was social and political upheaval as a range of corporate failures left many people destitute and the corporate collapses were one of the reasons behind the stagnation of the Victorian economy. The tutorial examines the motivation behind the introduction of the proprietary company in Victoria.
