The following and more will be covered in this session:

• Corporate law fundamentals: Gain a practical understanding of company structures, shares, securities, investment vehicles, and the key concepts that underpin corporate law, with clear explanations of commonly used terminology.
• Understanding corporate transactions: Follow the lifecycle of common transactions, including share transfers, capital raises, mergers, restructures, and liquidations, to understand how they are structured and implemented in practice.
• Building practical confidence: Develop a working corporate law vocabulary (lingo), learn how to navigate common corporate documents and conversations, and leave with practical knowledge that can be applied across commercial and related areas of practice.

Presenters

 
James Groom, Director, Groom Kennedy Lawyers, is a highly regarded corporate lawyer with extensive national and international experience, particularly in mergers and acquisitions, equity capital markets, commercial contracts, and corporate governance. Prior to founding Groom Kennedy in 2001, he practised corporate and securities law at major firms in Australia, the US, and the UK, and served as senior corporate counsel and company secretary for GE Capital’s Australasian operations. Known for his calm, practical advice and strong client relationships, James works with a broad range of clients, from entrepreneurs and start-ups to listed public companies. Beyond his legal practice, he is a seasoned director of both public and private companies and currently serves as Deputy Chancellor of the University of Tasmania.

Marisa Gillam, Lawyer, Groom Kennedy Lawyers, practises in corporate, commercial and property law, with a particular focus on disputes and litigation. She graduated as valedictorian of her law degree in 2023 and was admitted to practice in 2024, including to the High Court of Australia. Before joining Groom Kennedy, Marisa worked on a high-profile class action. She remains actively involved in the profession as Treasurer of the Tasmanian Southern Early Careers Lawyers Committee and previously held leadership roles with the Tasmania University Law Society (TULS) and is currently a member of the Law Society of Tasmania's Southern Early Career LAwyers (SECL) Committee.

Venue Access: Please note that as the Society's building at 28 Murray Street, Hobart was built in 1876 there is no lift or disability access to the downstairs training area. The Society's building at 56 Charles Street, Launceston was built in 1860 and there is no lift or disability access to the upstairs rooms.
